SYMPHONIC Terms of Service

Digi Labs Core, LLC

These Terms of Service ("Terms") govern your access to and use of the SYMPHONIC platform, software, and related services (collectively, the "Service") operated by Digi Labs Core, LLC ("DLC," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. ACCOUNT REGISTRATION

You must register for an account to use the Service. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2. ELIGIBILITY

You represent that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or the entity you represent.

3. SERVICE DESCRIPTION

SYMPHONIC is a business management platform that provides tools for customer management, project tracking, invoicing, and related business operations, along with optional industry and premium add-on modules.

4. LICENSE GRANT

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during the applicable subscription term.

5. FEES, BILLING, AND REFUNDS

5.1 Plan Pricing

The following pricing applies to SYMPHONIC subscriptions. Founding rates are available to subscribers who start service by 11:59 PM Central on December 31, 2026. Standard rates apply after the rate lock period and to subscribers who start after the cutoff date.

5.1(a) The four subscription tiers are defined as follows: Tier 1 Solo, 1 seat. Tier 2 Team, 2 seats. Tier 3 Studio, 3 seats. Tier 4 Crew, 5 seats.

Subscriptions above five seats are not offered at published rates and are quoted individually. Any such subscription is governed by its own order form in addition to these Terms.

Founding locked monthly rates: Tier 1 $59, Tier 2 $89, Tier 3 $119, Tier 4 $179.

Founding locked annual rates: Tier 1 $590, Tier 2 $890, Tier 3 $1,190, Tier 4 $1,790.

Standard monthly rates: Tier 1 $79, Tier 2 $119, Tier 3 $159, Tier 4 $239.

Standard annual rates: Tier 1 $790, Tier 2 $1,190, Tier 3 $1,590, Tier 4 $2,390.

5.2 Setup Fees

Monthly plans require a setup fee by tier: $99, $149, $199, and $299. Annual plans require a setup fee by tier: $49, $75, $100, and $150. Setup fees are never refundable under any circumstance.

For monthly plans, the setup fee covers the first month of service and the first recurring monthly charge occurs thirty days after signup. For annual plans, the setup fee and the first annual charge are both due at signup.

5.3 Module Pricing

Industry modules are $15 per month or $150 per year. Premium modules are $30 per month or $300 per year.

5.4 Rate Lock

Subscribers who start service by 11:59 PM Central on December 31, 2026 hold their founding rate for 24 months from their individual signup date. At month 25 the rate moves to the standard rate for their tier. The lock does not extend.

5.5 Payment Authorization and Automatic Renewal

By providing a payment method, you authorize Digi Labs Core, LLC to charge all fees at the rates in effect at the time of each billing period. Monthly subscriptions renew automatically each month. Annual subscriptions renew automatically each year at the end of the 12-month term. You may cancel before the next renewal date to stop future charges.

5.6 Failed Payment, Retry, and Suspension

If a payment fails, we will retry the charge. If payment remains unresolved after a reasonable period, we may suspend your account. No refund is owed for periods during which the account was suspended for nonpayment. Access is restored once the outstanding balance is paid.

5.7 Taxes

You are responsible for all taxes applicable to your subscription, excluding taxes based on our net income. All fees are exclusive of federal, state, and local taxes, and you agree to pay any such taxes imposed on your subscription.

5.8 Refund Rule for Annual Plans

If a subscriber on an annual plan cancels mid-term, the months already used are recharged at the standard monthly rate for their tier, not at the discounted annual rate. The refund is the amount paid minus that recharge. If the result is zero or negative, the refund is zero and no additional balance is owed by the subscriber.

The annual discount is earned by completing the full year. A subscriber who leaves early receives service at standard month-to-month pricing.

The following table shows the refund amount for each tier by month of cancellation. Amounts are in US dollars.

5.9 Module Refunds on Annual Plans

Annual module fees follow the same principle. Months used are charged at the module's monthly rate and the remainder is refunded. Because annual module pricing is ten times the monthly rate, module refunds reach zero at month 10.

5.10 Plan Changes

Monthly to annual: effective immediately, with credit applied for the unused portion of the current month. Annual to monthly: effective at the next renewal date. Module added: effective immediately and prorated for the current period. Module removed: effective at the end of the current billing period.

5.11 Chargebacks

If you dispute a charge through your payment provider, you agree to contact Digi Labs Core, LLC first to resolve the issue before initiating a chargeback. Chargebacks that are determined to be without merit may result in account suspension or termination.

5.12 Cancellation of Monthly Plans

Monthly subscription fees are not refundable for the current billing period. Access continues through the end of the period already paid for. No further charges are made after cancellation.

5.13 Tier Changes

This section supplements 5.10 and governs changes between subscription tiers. It does not apply to changes in billing cadence or to modules, which are governed by 5.10.

Upgrades. A change to a higher tier takes effect immediately. The difference between the tiers is prorated for the remainder of the current billing period and charged to your payment method at the time of the change.

Downgrades. A change to a lower tier takes effect immediately. The difference between the tiers is prorated for the remainder of the current billing period and applied to your account as credit. Credit is applied automatically to future invoices. Credit is not a refund, is not redeemable for cash, and is not paid out under any circumstance.

Seat requirements. A downgrade is not available while the number of active users on your account exceeds the seat allowance of the lower tier. Remove users to meet the seat allowance before requesting the change. Seat allowances are stated in 5.1(a).

Setup fees. Setup fees are charged once at signup. A tier change does not create a new setup fee and does not create a credit or an additional charge for the difference between tier setup fees.

Rate lock and pricing cohort. Your pricing cohort, founding or standard, is established at signup and does not change when you change tiers. A founding subscriber who changes tiers receives the founding locked rate of the new tier. A tier change does not extend, restart, or shorten the 24 month rate lock described in 5.4. The lock continues to run from your original signup date and expires on its original date.

Annual plans. A tier change does not restart the annual term and does not change your renewal date. If you later cancel an annual subscription mid-term, the refund calculation in 5.8 recharges each month already used at the standard monthly rate of the tier that was in effect during that month.

Unused credit. Credit remaining on your account at the time your subscription terminates is forfeited and is not included in any refund calculated under 5.8.

6. SERVICE LEVEL

We will use commercially reasonable efforts to maintain the availability of the Service for the full duration of your subscription. No uptime percentage is guaranteed. No service credits are offered. This Section 6 states your sole and exclusive remedy for any Service unavailability.

7. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use it only in connection with the performance of these Terms.

8. DATA OWNERSHIP

You retain all ownership rights to your data. We may use your data only as necessary to provide the Service and as described in our Privacy Policy.

9. DATA PROTECTION

We implement reasonable technical and organizational measures to protect your data against unauthorized access, loss, or destruction.

10. TENANT ISOLATION

Each customer account is provisioned as a separate tenant. Tenant data is logically isolated from other tenants. We implement access controls designed to prevent cross-tenant data access.

11. SEAT LICENSE RESTRICTION

Each subscription tier licenses the seat count stated in Section 5.1(a). A seat licenses one (1) named user for use on a single machine per session. Concurrent use of the same account on multiple machines or by multiple users is prohibited. Account sharing across users or devices beyond the seat count for the subscriber's tier is a material breach of these Terms.

12. TERMINATION AND DATA EXPORT

Either party may terminate these Terms for material breach that remains uncured for thirty (30) days after written notice. Upon termination, you have thirty (30) days to export your data. After that period, we may delete your data in accordance with the SYMPHONIC Privacy Policy, which contains the retention terms.

13. INTELLECTUAL PROPERTY

The Service, including all software, content, trademarks, and branding, is the exclusive property of Digi Labs Core, LLC. You may not copy, modify, reverse engineer, or create derivative works of the Service.

14. THIRD-PARTY SERVICES

The Service may integrate with third-party services, including but not limited to Zip.tax, Stripe, and Plaid. We are not responsible for the operation or availability of third-party services. Data you submit may be processed by these third-party providers in accordance with their respective privacy policies.

15. AI AND DATA PROCESSING

The Service may offer artificial intelligence features that connect to third-party AI providers. You select and supply your own API key for the provider of your choice. Data you submit through AI features is transmitted to the provider you selected, and that provider's own terms and privacy policy govern the processing of that data. Digi Labs Core, LLC is not responsible for the practices of any third-party AI provider.

16. ACCEPTABLE USE

You agree to use the Service only for lawful purposes. You may not abuse or circumvent AI feature usage caps. You may not attempt to gain unauthorized access to the Service or to other tenants. You may not resell or sublicense access to the Service. You may not upload malicious code, including viruses, worms, or any software intended to damage or disrupt the Service. You may not use the Service for any unlawful purpose or in violation of any applicable law or regulation.

17. USER CONTENT

You are solely responsible for all content you submit to the Service. You represent that you have all necessary rights to submit such content.

18. FEEDBACK

Any feedback, suggestions, or ideas you provide may be used by us without compensation or obligation to you.

19. THIRD-PARTY BENEFICIARIES

There are no third-party beneficiaries under these Terms.

20. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

22. INDEMNIFICATION

You agree to indemnify and hold Digi Labs Core, LLC harmless from any claims arising out of your use of the Service or violation of these Terms.

23. GOVERNING LAW

These Terms are governed by the laws of the State of Oklahoma, Tulsa County. Any disputes shall be resolved in the state or federal courts located in Tulsa County, Oklahoma.

24. CHANGES TO TERMS

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes take effect constitutes acceptance.

26. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Digi Labs Core, LLC regarding the Service.
